Terms of Service

Effective Date: May 22, 2026

Applicable to Michot.org, Michot Rider, Michot Driver, Michot Business, and related Michot services.

Please read these Terms carefully. By creating an account, tapping “I Agree,” accessing, or using the Michot platform, you agree to be bound by these Terms, the Michot Privacy Policy, the Michot Community Guidelines, and the Michot Account & Safety Policy.

These Terms of Service (“Terms” or “Agreement”) are a legally binding agreement between you and Michot Technologies Inc. (“Michot,” “we,” “us,” or “our”) governing your access to and use of the Michot websites, mobile applications, technology, support tools, payment features, dispatch tools, artificial intelligence tools, and related digital services, collectively referred to as the “Michot Platform.”

If you do not agree to these Terms, you may not create an account, access the Michot Platform, request rides, provide rides, receive trip requests, or use any Michot services.

1. The Michot Platform

Michot is a digital mobility technology platform designed to connect riders who need transportation with independent drivers who are willing to provide transportation services. Through the Michot Rider App, riders may request trips. Through the Michot Driver App, drivers may receive, accept, decline, complete, and manage trip requests.

Michot provides technology infrastructure, including account tools, location services, trip matching, estimated pricing, navigation support, communication tools, payment facilitation, support tools, safety tools, and account management systems.

Michot does not provide transportation services directly. Transportation services are provided by independent drivers or other independent transportation providers. Michot does not own, operate, or control the vehicles used by independent drivers.

2. Users, Riders, and Drivers

A “User” means any person who accesses or uses the Michot Platform. A “Rider” is a User who requests or receives transportation through the Michot Platform. A “Driver” is an independent service provider who uses the Michot Platform to receive and accept ride requests and provide transportation services using the Driver’s own eligible vehicle.

A separate transaction may be formed between a Rider and a Driver when a Driver accepts a Rider’s trip request. Michot facilitates that connection through the platform, but the Driver remains responsible for the transportation service the Driver chooses to provide.

3. Acceptance of Terms Before App Use

Before using Rider Home, Driver Home, account setup, onboarding, document upload, trip request, or go-online features, Michot may require you to review and accept:

  • These Terms of Service;
  • The Michot Privacy Policy;
  • The Michot Community Guidelines;
  • The Michot Account & Safety Policy;
  • Any Driver Agreement, Driver Addendum, or market-specific rules that apply to Drivers.

Michot may store your acceptance date, acceptance version, acceptance source, and related account records. If updated terms are required, Michot may require you to accept the updated terms before continuing to use the platform.

4. Eligibility

You must have the legal right and authority to enter into these Terms. You must provide accurate, current, and complete account information. Michot may refuse, suspend, restrict, or deactivate accounts that are incomplete, inaccurate, fraudulent, unsafe, duplicate, unauthorized, or otherwise not eligible.

Riders must meet the age and eligibility requirements applicable to their location. Drivers must satisfy all driver eligibility requirements, including age, license, document, vehicle, insurance, market, region, service type, and legal requirements applicable to the location where they drive.

You may not create or use an account if Michot has suspended, restricted, locked, or deactivated you unless Michot expressly authorizes reactivation.

5. User Accounts

You are responsible for maintaining the confidentiality of your login credentials and account access. You may not share your account, transfer your account, sell your account, allow unauthorized users to access your account, or use another person’s account.

You agree to provide accurate account information, including your name, phone number, email address, role, payment information, driver information, and any other information required for your use of the Michot Platform.

Michot may use account security tools, login monitoring, device records, OTP verification, account recovery, force logout, lock, review, and other security measures to protect the platform and its users.

6. Rider Services

Riders may use the Michot Rider App to request transportation by entering pickup and drop-off locations. Before confirming a request, Michot may display estimated trip time, estimated distance, estimated fare, service type, payment method, and other trip details.

Estimates are not guarantees. Final charges may differ due to actual route, time, distance, traffic, tolls, waiting time, cancellation rules, surcharges, service type, promotions, changes to the trip, GPS limitations, or other circumstances.

Riders must be ready at the pickup location, treat Drivers respectfully, follow safety instructions, use the platform lawfully, and avoid conduct that violates these Terms, the Community Guidelines, or applicable law.

7. Driver Services

Drivers use the Michot Driver App as independent service providers. Drivers may decide when, where, and whether to use the platform, subject to platform availability, market rules, safety policies, driver eligibility, document approval, service type approval, and applicable law.

A Driver may only go online or receive trips when the Driver account is active, approved, not disabled, not locked, not force-logged-out, permitted to go online, approved for the applicable market or service region, and otherwise eligible under Michot policy.

Drivers are responsible for maintaining valid licenses, insurance, registration, vehicle condition, vehicle safety, lawful operation, tax obligations, and compliance with all applicable laws and platform requirements.

8. Independent Driver Relationship

Drivers are independent service providers and are not employees, agents, joint venturers, franchisees, or partners of Michot. These Terms do not create an employment relationship between Michot and any Driver.

Drivers retain discretion to accept, decline, ignore, or cancel trip requests, subject to Michot’s policies, cancellation rules, safety rules, and applicable law. Michot does not require Drivers to accept any particular ride request as a condition of platform access.

Drivers are responsible for their own vehicles, expenses, equipment, insurance, taxes, licenses, and legal obligations. Drivers may provide services through other platforms or engage in other business activities, subject to applicable law and safety obligations.

9. Driver Representations and Requirements

By applying to drive or using the Michot Driver App, you represent and agree that:

  • You have a valid driver’s license and legal authority to operate your vehicle.
  • You have the right to use the vehicle submitted to Michot.
  • Your vehicle is safe, roadworthy, insured, registered, and compliant with applicable law.
  • You will only provide trips using a vehicle approved for your account.
  • You will not drive while impaired, fatigued, distracted, unsafe, or legally prohibited from driving.
  • You will not accept street hails or demand off-platform payment for Michot trips.
  • You will not permit unauthorized people to use your Driver account or provide trips under your profile.
  • You will not discriminate against Riders or refuse lawful service in violation of applicable law or Michot policy.
  • You will cooperate with Michot support, safety, document, payment, and compliance reviews.
  • You will pay all taxes and costs arising from your independent provision of transportation services.

10. Documents, Background Review, and Service Type Approval

Drivers may be required to submit documents including driver’s license, registration, insurance, profile photo, vehicle information, bank or payout information, background review information, and other documents required by Michot or applicable law.

Michot may approve, reject, expire, place on hold, or require reupload of documents. Michot may also determine whether a Driver is eligible for specific service types, such as standard, comfort, premium, plus, VIP, share, van, or other service categories.

A Driver may not self-approve documents, service types, market access, go-online status, or account restrictions. Admin approval or server-side validation may be required.

11. Market, Region, and Service Availability

Michot may operate in selected countries, markets, states, cities, regions, or service areas. Service availability may depend on market launch status, regional rules, driver approval, rider location, driver location, local laws, insurance, licensing, platform demand, or operational decisions.

Michot may limit, pause, deactivate, or expand service availability in any market or region at any time. Michot does not guarantee that a Rider can request a ride or that a Driver can receive trip requests in every location or at every time.

12. Charges, Fares, and Fees

Riders may be charged for transportation services requested through the Michot Platform. Charges may include fares, service fees, tolls, taxes, surcharges, waiting fees, cancellation fees, tips, damage or cleaning charges, airport or event fees, and other applicable amounts.

Michot may show an upfront estimate or quote before a Rider confirms a ride. Estimated or quoted prices may change if the trip changes, the route changes, pickup or drop-off changes, time or distance differs, tolls or fees apply, GPS data is unavailable, the Rider adds stops, waiting time applies, or misuse is detected.

Michot may also use variable pricing based on distance, time, service type, demand, supply, location, market conditions, promotions, minimum fare rules, and other pricing factors.

13. Cancellation, Waiting, No-Show, Damage, and Abuse Fees

Cancellation fees, waiting fees, no-show fees, damage fees, cleaning fees, or abuse fees may apply where permitted by Michot policy and applicable law.

Michot may review available information before applying or adjusting such fees, including trip records, GPS data, driver reports, rider reports, photos, support messages, timing, pickup arrival data, and other relevant evidence.

Riders and Drivers may contact Michot Support to dispute charges, fees, trip records, or payment issues.

14. Payments and Payment Processing

Payments may be processed by third-party payment processors. By using Michot, you authorize Michot and its payment processors to charge your selected payment method for amounts owed.

If your primary payment method fails, expires, is declined, or cannot be processed, Michot may attempt to charge another payment method associated with your account where permitted by law and platform settings.

Cash payment is not permitted unless Michot expressly allows cash payments in a specific country, market, or service program.

15. Driver Payments, Wallet, and Payouts

Drivers may receive earnings for completed trips, subject to Michot’s pricing, commission, service fee, payout, wallet, adjustment, refund, chargeback, fraud review, and applicable tax rules.

Driver earnings may be adjusted for cancellations, refunds, disputes, fraud review, trip corrections, tolls, bonuses, incentives, tips, wallet top-ups, commission balance, or other platform rules.

Michot may delay, hold, offset, review, or withhold payments where permitted by law if there is suspected fraud, policy violation, payment dispute, safety issue, document issue, account restriction, chargeback, compliance issue, or other legitimate platform concern.

16. Tips, Promotions, Credits, and Incentives

Riders may have the option to tip Drivers. Michot may offer promotions, referral programs, coupons, credits, bonuses, quests, incentives, or discounts. These offers may be subject to additional terms, eligibility rules, expiration dates, geographic limits, fraud controls, and other restrictions.

Michot may modify, suspend, revoke, or cancel promotions, credits, discounts, bonuses, or incentives if they are issued in error, obtained fraudulently, misused, or inconsistent with the applicable promotion terms.

17. Communications and Notifications

By creating an account or using Michot, you agree that Michot may contact you by email, SMS, phone call, push notification, in-app notification, support message, or other communication method you provide.

Communications may include account notices, OTP or verification codes, trip updates, driver approval updates, document review notices, safety messages, payment and payout notices, support replies, policy notices, promotional messages where permitted, and operational updates.

Message and data rates may apply. You may be able to manage some notification preferences through your device settings, app settings, unsubscribe links, SMS opt-out instructions, or by contacting support. Opting out of certain transactional messages may affect your ability to use the platform.

18. Location, Maps, Navigation, and GPS

The Michot Platform uses location information to provide ride requests, driver matching, trip tracking, pickup and drop-off support, route display, navigation support, safety features, market access checks, service-region checks, and support investigations.

Location, map, route, ETA, traffic, fare, and navigation information may be estimated, incomplete, delayed, or inaccurate. Users are responsible for exercising judgment and following applicable laws, signs, road rules, and safety requirements.

Michot does not guarantee uninterrupted or error-free GPS, mapping, routing, traffic, dispatch, or navigation performance.

19. Support, AI Assistance, and Escalations

Michot may provide support through in-app chat, email, SMS, phone, automated tools, artificial intelligence tools, support specialists, or account review systems.

AI assistance may provide general support information but may not make final legal, safety, document, payment, deactivation, or account approval decisions. Michot may escalate support matters to a human support specialist when appropriate.

Users must not abuse support tools, threaten support personnel, submit false reports, impersonate others, manipulate support records, or misuse support communications.

20. Account Holds, Reviews, Restrictions, and Deactivations

Michot may place an account into pending review, document review, background review, hold, locked, restricted, rejected, or deactivated status for safety, policy, fraud, document, payment, legal, compliance, support, or platform integrity reasons.

When Michot takes an account action, Michot may store a policy reason code, policy reason title, policy statement, user-visible reason, support note, internal admin note, notification record, and audit log.

Users may contact Michot Support to request review of an account action. Michot may uphold, modify, reverse, or escalate the action based on available information.

21. Community Guidelines and Restricted Activities

You agree to follow the Michot Community Guidelines and all applicable laws. You may not:

  • Impersonate any person or entity.
  • Use false, misleading, stolen, or unauthorized account information.
  • Harass, threaten, assault, abuse, stalk, discriminate against, or intimidate anyone.
  • Use Michot while impaired by alcohol, drugs, fatigue, or any condition that creates risk.
  • Use the platform for unlawful, unsafe, fraudulent, or abusive activity.
  • Interfere with dispatch, GPS, trip records, fare calculation, payment systems, or support systems.
  • Attempt to reverse engineer, scrape, copy, attack, disrupt, or misuse the platform.
  • Share, sell, rent, lend, transfer, or misuse an account.
  • Solicit or make off-platform payments for trips arranged through Michot.
  • Transport unlawful items or participate in unlawful activity using Michot.
  • Submit false reports, fake documents, staged trips, false ratings, or fraudulent claims.
  • Use Michot in a way that violates another person’s privacy, safety, property, or legal rights.

22. User Content and Feedback

You may submit profile information, support messages, ratings, reviews, reports, photos, documents, feedback, suggestions, or other content through Michot. You are responsible for the accuracy and lawfulness of the content you provide.

You grant Michot a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, store, copy, display, transmit, process, and analyze your content as necessary to operate, improve, secure, support, and enforce the Michot Platform and related services.

Michot does not claim ownership of your content, except for feedback, suggestions, ideas, improvements, or recommendations you provide to Michot, which Michot may use without compensation or restriction.

23. Privacy

Michot’s collection, use, storage, and sharing of personal information is described in the Michot Privacy Policy. By using the Michot Platform, you agree to the practices described in the Privacy Policy.

24. Third-Party Services

Michot may use or integrate third-party services, including cloud hosting, authentication, database, maps, navigation, payment processing, SMS, email, push notification, analytics, support, security, insurance, background review, and artificial intelligence providers.

Third-party services may be subject to separate terms and privacy policies. Michot is not responsible for third-party services except as required by law.

25. Intellectual Property

The Michot Platform, software, websites, designs, logos, trademarks, service marks, text, graphics, icons, code, databases, and related materials are owned by Michot or its licensors and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, rent, reverse engineer, misuse, or create derivative works from the Michot Platform except as expressly permitted by Michot in writing.

Drivers may not use Michot names, logos, branding, signs, decals, clothing, social media handles, domain names, ads, or other materials in a way that suggests employment, agency, sponsorship, endorsement, or authorization unless Michot provides written permission.

26. App Store Terms

If you download the Michot app from the Apple App Store, Google Play Store, or another app marketplace, the marketplace provider may have additional terms. Those terms apply only as required by the marketplace provider and do not change your agreement with Michot unless legally required.

27. Disclaimers

The Michot Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Michot disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, uninterrupted service, or error-free operation.

Michot does not guarantee that a Rider will receive a ride, that a Driver will receive trips, that a trip will be completed, that estimated fares will equal final charges, or that platform features will be available at all times.

Michot is not responsible for the conduct, acts, omissions, statements, services, driving, vehicles, or interactions of Users, Riders, Drivers, or third parties except as required by law.

28. Limitation of Liability

To the fullest extent permitted by law, Michot and its affiliates, officers, directors, employees, agents, contractors, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including lost profits, lost data, service interruption, loss of goodwill, or substitute service costs arising from or related to your use of the Michot Platform.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you. In such cases, Michot’s liability will be limited to the maximum extent permitted by applicable law.

29. Indemnity

You agree to defend, indemnify, and hold harmless Michot and its affiliates, officers, directors, employees, agents, contractors, service providers, and licensors from and against claims, losses, damages, liabilities, penalties, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

  • Your use or misuse of the Michot Platform;
  • Your breach of these Terms or related policies;
  • Your violation of law or third-party rights;
  • Your content, documents, reports, or information;
  • Your provision or receipt of transportation services;
  • Your ownership, operation, maintenance, or use of a vehicle;
  • Your fraud, misconduct, negligence, or unsafe conduct.

30. Term, Suspension, and Termination

These Terms begin when you accept them or use the Michot Platform and continue until terminated. You may stop using Michot at any time. Michot may suspend, restrict, lock, deactivate, or terminate your account or access where permitted by law and platform policy.

Reasons may include safety concerns, account ineligibility, document issues, payment issues, fraud risk, suspected misuse, legal compliance, market restrictions, repeated complaints, failure to meet driver requirements, or violation of these Terms or related policies.

Provisions relating to payments, taxes, intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, dispute resolution, and any obligations that by their nature should survive termination will survive termination of these Terms.

31. Dispute Resolution

Before filing a formal legal claim, you and Michot agree to attempt to resolve disputes informally by contacting Michot Support and providing a clear description of the issue, requested resolution, and account information needed to identify the dispute.

Subject to applicable law, Michot may require disputes to be resolved by binding individual arbitration rather than in court. If Michot adopts an arbitration program, Michot will provide the applicable arbitration terms, opt-out instructions where required, forum rules, procedures, and any legally required disclosures.

Nothing in these Terms prevents you from reporting safety, legal, employment, consumer, privacy, or regulatory concerns to a government agency where legally permitted.

32. Governing Law

These Terms will be governed by the laws specified by Michot for the applicable market or, if no market-specific law is specified, by the laws of the state where Michot is organized or principally operates, without regard to conflict-of-law rules, except where applicable law requires otherwise.

33. Changes to These Terms

Michot may update these Terms from time to time. Updated Terms may be posted on the website, shown in the app, sent by email, or otherwise made available through the Michot Platform.

Continued use of the Michot Platform after updated Terms become effective means you accept the updated Terms. If Michot requires renewed acceptance, you may need to accept the updated Terms before continuing to use the platform.

34. Notices

Michot may provide notices through the app, website, email, SMS, push notification, support message, or other contact information associated with your account.

35. Entire Agreement

These Terms, together with the Privacy Policy, Community Guidelines, Account & Safety Policy, Driver Agreement or Driver Addendum where applicable, and any supplemental market-specific terms, make up the entire agreement between you and Michot regarding your use of the Michot Platform.
